Affiliate Program Terms

Who We Are and What These Terms Cover
The Fukurō Affiliate Program is operated by CINELLI E TRINDADE TECNOLOGIA LTDA (trading as "HalTuring"), CNPJ 46.909.927/0001-40, Rua Comendador Torlogo Dauntre, 74, sala 1207, Cambuí, Campinas – SP, 13027-250, Brazil ("we", "us"). These Affiliate Terms govern your participation in the Program. By applying to or participating in the Program you accept them.
These Affiliate Terms supplement the Terms of Service, which continue to apply to your Fukurō account. Where the two conflict regarding the Program, these Affiliate Terms prevail.
1. Definitions
In these Affiliate Terms:
- "Affiliate" means the person or entity we have approved to participate in the Program.
- "Program" means the Fukurō Affiliate Program described in these Affiliate Terms.
- "Panel" means the affiliate dashboard at app.fukuro.review/affiliate.
- "Referred Customer" means a customer whose signup is attributed to the Affiliate under section 6.
- "Commissionable Revenue" means the amounts a Referred Customer actually pays us for subscriptions, credit packs, or lifetime deals during their first 12 months from signup, net of refunds and chargebacks, and excluding the payments listed in section 5.
- "Attribution Window" means the 90-day period after a consented referral click during which a signup can be attributed to the Affiliate.
- "Hold Period" means the 30 days after a commissionable payment during which the related commission is held before becoming payable.
- "Service" means the Fukurō service as defined in the Terms of Service.
2. Eligibility
To participate you must be at least 18 years old, hold a Fukurō account in good standing, and provide accurate and current information in your application and in the Panel, keeping it accurate.
3. Enrollment and Approval
You apply through the Panel. Every application is reviewed by a person. We may accept or decline any application at our discretion, and we may re-review your participation at any time. Participation is free.
4. Limited Trademark License
While you participate, we grant you a revocable, non-exclusive, non-transferable license to use the Fukurō name and logo solely to promote the Service as described in these Affiliate Terms. You may not use Fukurō marks, or anything confusingly similar, in domain names, social media handles, app names, or paid-search keywords. The license ends when your participation ends.
5. Commissions
Your commission is 20% of Commissionable Revenue. It applies to every payment a Referred Customer makes during their first 12 months from their first attributed signup, including subscriptions, credit packs, and lifetime deals. After those 12 months, no further commission accrues for that customer.
No commission is due on: your own purchases or purchases by accounts you control; payments obtained through fraud or through conduct prohibited by section 10; and payments made under separately negotiated institutional agreements, unless we have agreed otherwise in writing.
A separate written partner agreement may change the rate, duration, or structure for a specific Affiliate. Where it conflicts with these Affiliate Terms, the written agreement prevails.
6. Attribution
We attribute referrals with a 90-day first-party cookie that is set only if the visitor consents, and with your referral code passed as a ?ref parameter at signup as a fallback. Where several referral links were clicked, the last click wins.
Attribution can fail. If a visitor declines or clears cookies, or signs up in a different browser or on a different device without your code, the signup will not be attributed. Our records are determinative for attribution and commissions, and we do not attribute signups retroactively.
7. Commission Holds
Each commission is held for the 30-day Hold Period, which exists to absorb refunds, and then becomes payable.
8. Payouts
You may request a payout from the Panel once your payable balance reaches $50.
In Brazil we pay by PIX, and we require a corresponding nota fiscal issued by your CNPJ or MEI before payment.
Outside Brazil we pay by bank transfer in USD, net of applicable Brazilian withholding tax and bank fees.
You are responsible for your own taxes on commissions. We may ask for the data we reasonably need to pay you, including your legal name, tax identifiers, and PIX or bank details, and we may hold payouts until you provide it.
9. Refunds, Chargebacks, and Clawback
If a payment is refunded or charged back, the related commission is reversed. If it was already paid out, we deduct the amount from your future payouts.
10. Prohibited Conduct
While participating in the Program you must not:
- send spam of any kind, including unsolicited email, messages, or comments containing your referral link;
- refer yourself, use your own link for your purchases, or refer accounts you control;
- engage in cookie stuffing or otherwise manipulate tracking or attribution;
- bid on Fukurō brand keywords in paid search, or register domains, social media handles, or app names containing Fukurō marks;
- publish referral links on coupon or deal sites without our prior written approval;
- make misleading claims about the Service, including that Fukurō writes papers or guarantees acceptance;
- promise or imply income from the Program;
- offer people payment or other incentives to sign up;
- impersonate Fukurō or suggest you act on our behalf.
Spam of any kind leads to immediate termination. Any breach of this section may lead to immediate termination of your participation and forfeiture of unpaid commissions.
11. Mandatory Disclosures
You must disclose your commercial relationship with us clearly and conspicuously wherever you share referral links, in line with the Brazilian Consumer Protection Code (CDC) and CONAR guidance, the US FTC Endorsement Guides, and EU consumer-protection law, as applicable to your audience. Place the disclosure with the recommendation itself, not only in a profile, footer, or separate page.
12. Data Protection
You and we are independent controllers of the personal data each of us processes for the Program. When you promote the Service, you need your own lawful basis under the LGPD, the GDPR, or other applicable law for the communications you send. Purchased contact lists may not be used.
Our processing of personal data is described in the Privacy Policy.
13. Relationship of the Parties
You and we are independent contractors. These Affiliate Terms do not create an employment relationship, agency, partnership, or joint venture, and you have no authority to make commitments on our behalf.
14. Term, Termination, and Forfeiture
You may leave the Program at any time from the Panel or by writing to us. We may end the Program or your participation at any time with notice.
If your participation ends without a breach on your side, commissions that legitimately accrued before the end date and exceed the payout minimum are paid on the ordinary schedule.
If we terminate for cause, in particular for breach of section 10, unpaid commissions are forfeited.
15. Changes to the Program
We may change or discontinue the Program, including rates and these Affiliate Terms, with notice through the Panel or by email. For material changes we give advance notice before they take effect. Your continued participation after a change takes effect is acceptance of it.
16. Liability
The Program and the Panel are provided as is. Nothing in these Affiliate Terms excludes or limits liability that cannot be excluded or limited by law, and mandatory consumer rights remain unaffected.
To the maximum extent permitted by law, our total liability to you in connection with the Program is limited to the commissions we paid you in the 12 months before the event giving rise to the claim.
You will indemnify us against third-party claims and reasonable costs arising from your breach of these Affiliate Terms, in particular of sections 10 and 11.
17. Governing Law and Controlling Language
These Affiliate Terms are governed by the laws of Brazil. If you are a consumer, you may bring proceedings in the courts of your own domicile, as guaranteed by article 101, I of the Consumer Protection Code, and nothing here requires you to arbitrate. If you are not a consumer, the courts of Campinas, São Paulo, Brazil have exclusive jurisdiction.
These Affiliate Terms are published in English, Portuguese, and Spanish. For consumers resident in Brazil, the Portuguese version prevails. For everyone else, the English version prevails.
